Private secondary deals run on informal trust and repeated disclosure. Buyers hand over their most sensitive information again and again, deals collapse on paper no one can stand up, and no one in the chain can see the real risk, even as serious capital now screens self-certification before it will allocate.

Buyers pay for access with their privacy

To get into a deal, a buyer has to prove funds and identity, handing bank statements, KYC, and source-of-wealth to brokers and counterparties they barely know. That information gets kept, reused, and re-marketed, and every new deal means exposing it all over again.

Recycled documents and fake blocks

The same proof of funds circulates through three brokers at once. Nobody checks. Deals collapse at closing, after weeks of work, when the capital or the shares cannot be stood up.
